Bylaws of the Salt
River Chapter of ABATE for Missouri
Article I – Name,
Purpose
Section 1: The name of the organization shall be Salt
River Chapter ABATE for Missouri.
Section 2: The Salt River Chapter is organized as an
extension of the state level ABATE for Missouri as a legislative organization
for such purposes as the promotion of motorcycle use, acceptance, safety,
education, and enjoyment. Said purposes include promoting the motorcycling
interests of the Chapter’s members, undertaking such interaction
as lobbying and litigation support with the state level ABATE, and charitable
purposes.
Section 3: The organization shall have a seal, which
shall be in the following form; Chapter patch. The Chapter patch shall
not be worn on the back of any apparel.
Section 4: The Chapter will perform at least one (1)
fund raising function per year for which the proceeds are to be turned
over to the State treasury.
Article II –
Membership & Members
Section 1: Membership shall be open to anyone 18 years
of age who are interested in preserving his/her right to ride. Said
person shall submit the proper written form and dues.
A. The dues of this Chapter shall be $25.00 per single
membership or $45.00 per couple per annum.
B. Membership renewals are to be paid no later than
the 2nd regularly scheduled meeting after the member’s anniversary
date.
C. Failure to pay dues will result in the termination
of membership.
Section 2: Each member shall have one (1) vote for
the election of officers. There are no absentee votes.
Article III –
Monthly Meeting
Section 1: The Founding members have set the date (
the 2nd Saturday of the month) for the regular meeting. Meetings will
be held in accordance with Roberts Rules of Order at the discretion
of the President. The time and place are as follows; 3:00 PM, 200 West
Maple St.
Shelbina, MO 63468.
Section 2: Temporary meeting date or time changes can
be decided by the Chapter President, Vice President, and Treasurer,
with notification to the rest of the members no less than five (5) days
prior to said change(s).
Section 3: Primary communications for any meeting changes
or special meetings will be thru the Chapter website.
Section 4: Special meetings may be called by the Chapter
president.
Section 5: The presence of not less than 2/3 of the
officers and five (5) members shall constitute a quorum and shall be
necessary to conduct any Chapter business.
Article IV –
Order of Business
Section 1: The order of business for a monthly meeting
shall be as follows;
Pledge to the U.S. Flag
Moment of silence for fallen brothers and sisters
Reading of the minutes from the preceding meeting
Reading of last Treasurers report
Officers’ reports
Committee reports
Old and unfinished business
New business
Adjournment
Article V – Voting
Section 1: At all meetings votes shall be by voice
unless otherwise specified.
Section 2: For the election of officers, ballots shall
be provided and there shall not appear any place on such ballot as to
indicate the identity of the person casting a vote.
Section 3: At any regular or special meeting, if a
majority requires, any question may be voted upon in the manner and
style provided for in the election of officers.
Section 4: At all votes by ballot the President shall,
prior to the commencement of balloting, appoint a committee of three
(3) who shall at the conclusion, certify the results and be entered
into the minutes of that meeting.
Article VI –
Officers
Section 1: Executive officers of the Chapter shall
consist of; President, Vice President, Secretary, Treasurer. Auxiliary
officers of the Chapter shall consist of; Road Captain, Sgt of Arms,
State Representative, Member of State Board of Directors, Membership
Officer, and Web Master. No individual may hold an office unless his/her
membership is current.
Section 2: Election of officers. The officers of the
Chapter shall be elected to serve a two (2) year term.
A. Nomination process will start with nominations from
the floor in January.
B. Elections will be held at the February meeting.
C. Officers starting at the March meeting.
Section 3: Officers are eligible for re-election.
Article VII –
Executive Duties
Section 1: President. The President shall preside over
meetings, and shall coordinate Chapter business and affairs. He/she
shall appoint all committees, temporary or permanent. He/she shall see
all books, reports, and certificates required by law are properly kept
or filed. The President shall preside at all and be ex-officio member
of all committees. The President and the Vice-President or their designee
shall be responsible for the sanctioning of any activity or event for
the Chapter.
Section 2: Vice-President. The Vice-President shall,
in the event of the absence or inability of the President to exercise
his/her office, preside over meetings and shall also help coordinate
Chapter business and affairs with all the rights, privileges, and powers
as if he/she had been the duly elected President.
Section 3: Secretary. The Secretary shall keep the
minutes and records of the Chapter in the appropriate books and review
said minutes at each meeting. He/she shall have an agenda ready for
each meeting. He/she shall give and serve all notices to the members
of said Chapter. He/she may be one of the officers required to sign
the checks and drafts for the Chapter.
Section 4: Treasurer. The Treasurer shall maintain
and keep all financial records for the Chapter, and shall be responsible
for all the moneys collected by the Chapter. He/she shall have a treasurer’s
report and review it at each meeting. He/she must be one of the officers
who shall sign checks or drafts for the Chapter and render a true account
balance. No special fund may be set aside that shall make it unnecessary
for the Treasurer alone to sign the checks issued upon it. He/she shall
send a treasurer’s report to the State Treasurer monthly.
Section5: Road Captain. The Road Captain shall put
together rides for the Chapter.
Section 6: Sgt of Arms. The Sgt of Arms shall be responsible
for impartially maintaining order in the meetings. He/she shall oversee
a ballot voting count and be responsible reporting to the President.
Section 7: State Representative. The State Representative
shall bring a representation of the Chapter to the state level meetings,
voice any opinions for the Chapter, and shall attend a minimum of two
(2) state meetings. If he/she is unable to attend a State meeting, a
proxy will appointed.
Section 8: Member of State Board of Representatives.
The Board Representative shall have voting rights at the state level
and shall attend a minimum of two (2) state meetings. If he/she is unable
to attend a State meeting, a proxy will be appointed.
Section 9: Membership Officer. The Membership Officer
shall keep records of the Chapter members and be responsible for membership
renewals. He/she is accountable for any monies associated with and collected
from membership dues until turned over the Chapter Treasurer. He/she
shall maintain an accurate membership roster to be recorded at each
State meeting. Membership dues and the completed membership application
form are to be sent to the State every two weeks. Chapters should keep
copies for their records.
Section 10: Web Master. The Web Master shall prepare
a website for the Chapter and update said website as needed. The Web
Master will use his/her discretion as to what type of pictures to put
on the website. The Chapter will cover any costs associated with maintaining
the website and will be the sole owner of said site.
Section 11: At the end of any officers’ term
all records will be turned over to the newly elected officer within
thirty days.
Section 12: Vacancies. When a vacancy exists, nominations
of a member to fill the opening may be held at the regular meeting and
voted upon at the next regular meeting. These vacancies shall be filled
only to the end of the particular officer’s term.
Article VIII –
Amendments
Section 1: These Bylaws may be amended when necessary
by a 2/3-majority vote of the members present. Proposed amendments must
be submitted to the Secretary to be discussed at a regular meeting.
Chapter bylaws shall be ran
in accordance with State level bylaws.
These bylaws were read and approved at a regularly scheduled meeting of
the Salt River Chapter ABATE on MARCH 8, 2008.
